CREATOR TERMS AND CONDITIONS

1. INTRODUCTION

These Creator Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Creator," "you," or "your") and Media Creative Hub FZE ("Media Creative Hub," "we," "us," or "our"), governing your participation as a creator on the Media Creative Hub platform.

By registering as a creator, uploading content, or otherwise using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. CREATOR ELIGIBILITY

  • 2.1: You must be at least 18 years old and able to form legally binding contracts.
  • 2.2: You must provide accurate and complete information during registration and keep your account information updated.
  • 2.3: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. CONTENT SUBMISSION AND OWNERSHIP

  • 3.1 Ownership Verification: By uploading any content to MCH, you represent and warrant that:
    • • You are the original creator of the content
    • • You own all rights to the content or have obtained all necessary licenses, permissions, and releases
    • • The content does not infringe any third-party intellectual property rights, privacy rights, or publicity rights
  • 3.2 Content License to MCH: You grant MCH a non-exclusive, worldwide, royalty-free license to display, promote, distribute, and sell your content through the MCH platform.
  • 3.3 Content Restrictions: You agree not to upload content that:
    • • Infringes on intellectual property rights
    • • Contains confidential information of any third party
    • • Violates any applicable law or regulation
    • • Contains malicious code, viruses, or harmful components
    • • Includes offensive, defamatory, or objectionable material

4. QUALITY STANDARDS AND REVIEW

  • 4.1: All submitted content must meet MCH's quality standards, which may be updated from time to time.
  • 4.2: MCH reserves the right to review all submitted content and may reject or remove any content that does not meet our quality standards or violates these Terms.
  • 4.3: Repeated submission of low-quality content may result in suspension or termination of your creator account.

5. REVENUE SHARING AND PAYMENTS

  • 5.1 Creator Revenue Share: For each sale of your content, you will receive the percentage specified in your creator agreement (typically 30-40% depending on template category).5.2 Payment Schedule: Payments will be processed according to the payment schedule outlined in your creator agreement, typically monthly for all sales that exceed the minimum payout threshold.5.3 Payment Methods: Payments will be made through the payment method selected in your account settings.5.4 Taxes: You are solely responsible for all taxes related to your earnings from MCH. We will provide necessary documentation for tax purposes as required by law.

    • 6. INTELLECTUAL PROPERTY RIGHTS

    6.1 Your Rights: You retain ownership of all intellectual property rights in your original content.6.2 Buyer License: When your content is purchased, the buyer receives a license as specified in the MCH Buyer Terms & Conditions.6.3 MCH Platform Elements: All MCH platform elements, including logos, trademarks, and design elements, are the exclusive property of MCH and may not be used without prior written permission.

    7. COPYRIGHT INFRINGEMENT AND DMCA

    7.1 Responsibility: You assume full responsibility for any copyright infringement claims related to content you upload.7.2 Indemnification: You agree to indemnify and hold MCH harmless from any claims, damages, liabilities, costs, or expenses arising from content you submit.7.3 DMCA Compliance: MCH complies with the Digital Millennium Copyright Act. If we receive a valid DMCA takedown notice for your content, we will remove it from the platform and notify you.

    8. CREATOR CONDUCT

    8.1: You agree to interact professionally with MCH staff, other creators, and buyers.8.2: You will not attempt to circumvent the MCH platform to directly solicit buyers you meet through MCH.8.3: You will not engage in any activity that could damage, disable, or impair the MCH platform.

    9. TERM AND TERMINATION

    9.1: These Terms remain in effect while you use the MCH platform as a creator.9.2: You may terminate your creator account at any time by contacting MCH support.9.3: MCH may suspend or terminate your account if you violate these Terms or for any other reason at our sole discretion.9.4: Upon termination:
    • • Your content may be removed from the platform
    • • You will receive any earned but unpaid revenue according to the regular payment schedule
    • • Sections of these Terms that by their nature should survive termination will remain in effect

    10. MODIFICATIONS TO TERMS

    10.1: MCH reserves the right to modify these Terms at any time.10.2: We will notify you of any material changes via email or through the platform.10.3: Your continued use of the platform after such modifications constitutes acceptance of the updated Terms.

    11. DISCLAIMERS AND LIMITATIONS OF LIABILITY

    11.1 Platform Provided "As Is": MCH provides the platform on an "as is" and "as available" basis, without warranties of any kind.11.2 Limitation of Liability: MCH will not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the platform.11.3 Maximum Liability: MCH's maximum liability to you for any claim shall not exceed the amount paid to you by MCH during the six (6) months preceding the claim.

    12. DISPUTE RESOLUTION

    12.1 Governing Law: These Terms shall be governed by the laws of the United Arab Emirates.12.2 Arbitration: Any dispute arising from these Terms shall be resolved through binding arbitration in Sharjah, UAE, according to the rules of the Sharjah International Commercial Arbitration Centre.12.3 No Class Actions: You agree to resolve disputes with MCH on an individual basis and waive any right to participate in a class action lawsuit.

    13. CONFIDENTIALITY

    13.1: You agree to maintain the confidentiality of any non-public information obtained through your use of the MCH platform.13.2: You will not disclose MCH's confidential information, including business strategies, technical specifications, or other proprietary information.

    14. COMMUNICATION

    14.1: By creating an account, you consent to receive electronic communications from MCH.14.2:Notices will be sent to the email address associated with your account.

    15. MISCELLANEOUS

    15.1 Entire Agreement: These Terms constitute the entire agreement between you and MCH regarding your participation as a creator.15.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.15.3 No Waiver MCH's failure to enforce any right or provision of these Terms will not be considered a waiver.15.4 Assignment: You may not assign your rights under these Terms without MCH's prior written consent. MCH may assign its rights without restriction.
